The unprecedented economic growth of Thailand has attracted the interest of foreign investors wanting to put up a company in the country. Other reasons that attract foreign investors to the country include the cost-effective and skilled workforce, adequate infrastructure and resilient government support.

The country’s clear business policies also promote political and social stability as well as free trade. The favourable location of Thailand in Asia also helps business prosper. Company registration in Thailand, however, is a lengthy process as it involves getting permits of various sectors of the economy. The permits you need to get depend on the type of company you want to set up.

Before registering a company in Thailand, you should be sure about the kind of company you want to start. Registration is open for 3 kinds of companies – Thai representative office, Thai partnership and Thai limited company. The normal Thai partnership is a business structure owned by joint partners who share unlimited responsibility for the obligations of the company. Each of them is personally and jointly responsible for the partnership’s taxes and debts.

The Thai limited partnership and representative are almost similar to ordinary Thai partnership except the two require two other types of partnerships. Since all the required documents and registration forms and procedures are in Thai, getting an attorney who can converse in Thai on your behalf is recommended. This way, you are assured that your company registration in the country would go smoothly and without any problem.

Company Registration Process in Thailand

Registering a company in Thailand involves several steps, including application for the authorization of using the name you have chosen for your company either by registering yourself at the country’s Department’s Registrar or through websites. You are also required to deposit paid in capital in a bank. The shareholder should pay at least 25% of the registered capital.

A corporate seal should be obtained for affixing the share certificates of your company. You also need to get approval for the memorandum of association of your company and apply for company registration to make your venture a legal organization at the private limited companies’ registrar. The application made to get your memorandum of association registered must contain information such as the nature of your business, ages, names and address of the promoters, office address and signature of all promoters, company names and number of shares as well as par value of your company.

You need to submit company works to the Office of Labour Protection and Welfare and to the Ministry of Labour at the same area where the main office of your company is located. The Office of the Labour Protection and Welfare verifies the company works before giving the final authorization for your company to be started.

It can take 2 to 4 weeks to months to complete the entire company registration procedure, depending on the nature of personnel at different levels of the process. Following the rules and guidelines set by the country would help you speed up the process of registering your company in Thailand.
