Thai company registration process:

First step, Company name

The first step of the Thai company registration is the name reservation. In order to reserve the name, one of the promoters is required three possible names for your company are submitted to the Ministry of commerce to check availability, they will approved one and notify back within 3 business days.

Second step, Register a Memorandum of association (MOA)

After the name is reserved, the MOA must be submitted. Each of the seven shareholders is required to sign the MOA. The MOA contains, among other things:

The name and various personal information concerning the company promoters (minimum seven), company’s registered capital, company address (PO Box cannot be accepted) and company’s intended scope of business activities.

Third step, Register a corporation

7 days after MOA registration, all documents associated with the company’s registration must be submitted to the registrar of the Ministry of commerce, or, if the company’s office is located outside Bangkok, it can be submitted at the filing office of the province where the office will be. After this process the Ministry of commerce will issue the company affidavit, company certification, list of shareholders and company articles of association, etc.

Fourth step, Tax and Vat registration

All documents associated with the registration of the company’s Tax ID Card and Vat Certificate must be submitted to the Central filing office of the Revenue Department.

Fifth step, Open a corporate bank account

After registration is completed, most company always want to open a corporate bank account. Tilalegal will prepare require documents to open a corporate bank account. The company directors have to present themselves to the bank.

If any of the signatories for the bank account are foreigners, some bank will require each of the foreign signatories submit a valid work permit prior to opening the account
